Sierra Wireless announces results of election of Board of Directors

Sierra Wireless (NASDAQ: SWIR) (TSX: SW) today announced the results from its 2013 annual general meeting of shareholders, held on May 16, 2013. All of the six nominees proposed by management for election to the Board of Directors at the meeting and listed in the company’s Management Information Circular, dated April 10, 2013, were elected. The Directors will remain in office until the next annual general meeting of shareholders, or until their successors are elected or appointed.

AirLink Raven, Raven X, and Raven XE gateways have been successfully integrated into a wide variety of M2M deployments, enabling customers to do everything from monitoring soil conditions in vineyards or vibrations in historic buildings, to managing SCADA equipment remotely, to delivering messages to roadside traffic signs or photos from red light cameras. Building on a proven 20-year track record of over one million deployed AirLink devices, the next-generation AirLink LS300 gateway provides all the benefits customers have come to rely on in the AirLink product line, including best-in-class network connectivity, rugged military-spec design and ALEOS™ embedded intelligence.

Sierra Wireless, Inc. (NASDAQ: SWIR) (TSX: SW) (“Sierra Wireless” or the “Company”) today announced that it has received approval from the Toronto Stock Exchange (“TSX”) of its Notice of Intention to Make a Normal Course Issuer Bid (the “Bid”).

Pursuant to the Bid, Sierra Wireless may purchase for cancellation up to 1,529,687 of its common shares (“Common Shares”), or approximately 5% of the Common Shares outstanding as of the date of this announcement (representing 5.1% of the public float). As of January 31, 2013, there were 30,593,751 Common Shares of Sierra Wireless issued and outstanding, and the public float consisted of 30,020,245 Common Shares.

The purchases will be made by Sierra Wireless through the facilities and in accordance with the rules of the TSX and Rule 10b-18 under the U.S. Securities Exchange Act of 1934 (“Rule 10b-18”), and the price which Sierra Wireless will pay for any such Common Shares will be the market price at the time of acquisition. Sierra Wireless will make no purchases of Common Shares other than open market purchases or other means approved by the TSX. Other than block purchases allowable under the TSX rules, purchases will be subject to a daily restriction of 13,322 Common Shares, being 25% of the average daily trading volume for the preceding six months. In addition, purchases of Common Shares through the facilities of the Nasdaq Stock Market (“Nasdaq”) will be made in compliance with Rule 10b-18, which contains similar restrictions on the number of shares that may be repurchased based on the average daily trading volumes of the Common Shares on Nasdaq, subject to certain exceptions for block purchases. In addition, purchases may also be made through other Canadian marketplaces.

The actual number of Common Shares of the Company that are purchased for cancellation under the Bid, if any, and the timing of such purchases will be determined by the Company. The Board of Directors of Sierra Wireless believes that the proposed purchases are in the best interests of Sierra Wireless and are a desirable use of corporate funds.

To the knowledge of the Company, no director, senior officer or other insider of Sierra Wireless currently intends to sell any Common Shares under this Bid. However, sales by such persons through the facilities of the TSX or Nasdaq may occur if the personal circumstances of any such person changes or any such person makes a decision unrelated to these normal course purchases. (NASDAQ: SWIR) (TSX: SW) today announced it has executed a definitive agreement for the sale of substantially all of the assets and operations related to its AirCard® business to NETGEAR®, Inc. (NASDAQGM: NTGR) for $138 million in cash plus approximately $6.5 million in assumed liabilities as of December 31, 2012. NETGEAR is a global networking company that delivers innovative products to consumers, businesses, and service providers. Sierra Wireless expects to realize net cash proceeds of approximately $100 million from the asset sale, after related taxes, expenses, and funds held in escrow. The transaction is expected to close in March 2013, subject to customary closing conditions.

Under the transaction, NETGEAR will acquire the assets and operations of the AirCard business, including customer relationships, products, intellectual property, inventory, and fixed assets, and assume certain liabilities, including warranty commitments and other customer obligations. Approximately 160 employees, primarily in sales, marketing, and R&D, will be transferred to NETGEAR, as well as certain facilities in Carlsbad, CA and Richmond, BC.

Upon completion of the transaction, Sierra Wireless’s retained business will include its AirPrime™ embedded modules for M2M and Mobile Computing, AirLink® intelligent gateways and routers, and AirVantage™ M2M cloud product lines. Going forward, Sierra Wireless will be an M2M and connected device pure play company, focused on providing innovative hardware, software, and cloud-based solutions that work together to enable customers across a broad range of markets to connect their machines to the “Internet of Things.”

Use of funds

Sierra Wireless intends to use net proceeds from the transaction to continue its acquisition strategy in the M2M market, with the objective of accelerating revenue and earnings growth by strengthening its leadership in existing markets and expanding its position in the M2M value chain.

Sierra Wireless is also exploring alternatives to return a portion of the proceeds to shareholders and will seek approval of the Toronto Stock Exchange (“TSX”) to undertake a normal course issuer bid (“NCIB”). The terms of the proposed NCIB will be subject to TSX review and approval, and Sierra Wireless expects to provide further details in the coming weeks.

Financial highlights for the fourth quarter and full year 2012

Sierra Wireless expects consolidated fourth quarter 2012 results to be solidly in line with guidance provided on November 1, 2012. Preliminary revenue for the full year is $644 million.

With respect to the retained business, preliminary fourth quarter and full year 2012 revenues were $109 and $397 million, respectively, including $14.0 million and $61.1 million, respectively, in revenue from the sale of AirPrime embedded wireless modules to Mobile Computing customers. Non-GAAP gross margin for the retained business was 33.2 percent in the fourth quarter of 2012 and 31.6 percent for the full year. Non-GAAP earnings from operations for the retained business were modestly positive in the fourth quarter, showing a steady improvement throughout the year.

“Upon closing this transaction, we will be highly focused on driving profitable revenue growth in our M2M business,” said David McLennan, Chief Financial Officer of Sierra Wireless. “As a stand-alone business, we will have a cost structure that supports considerably higher revenue levels, which will initially be reflected in modest operating margins. However, because we will be fully invested for growth, as we increase our revenues we expect to see greater operating leverage from the business.”

Sierra Wireless will release fourth quarter and fiscal 2012 financial results after market close on February 6, 2013. Management will provide additional financial detail at that time.

Sierra Wireless (NASDAQ: SWIR) (TSX: SW) today introduced its second generation of 4G LTE AirPrime™ embedded wireless modules for notebooks, ultraportable notebooks, and tablets. The six new additions to the AirPrime EM Series and MC Series support 4G LTE networks worldwide and are compatible with the Windows® 8 operating system.

Sierra Wireless first launched embedded modules for LTE networks nearly two years ago, at the 2011 Consumer Electronics Show. Since then, the company has delivered LTE-enabled products on networks around the world, shipping over 2 million LTE products to date. Sales of AirPrime embedded modules to notebook and tablet manufacturers have enjoyed strong growth in 2012, up 66 percent in the first three quarters of the year, compared to the same period in 2011.

“This new lineup of embedded wireless modules offers notebook and tablet manufacturers a leading edge connectivity solution for a wide range of devices, with expanded support for both LTE networks and Windows 8 packaged into some of the thinnest modules we’ve ever produced,” said Dan Schieler, Senior Vice President, Mobile Computing for Sierra Wireless. “The continued deployment of LTE networks and the launch of Windows 8 have driven solid growth in our sales to device manufacturers this year, and our expansion of the product line demonstrates our continued commitment to this key market.”

All of the new MC and EM Series modules are optimized for low power consumption, to enable longer battery life in their host devices. In addition, all of them are compatible with 2G and 3G network technologies for use in areas where LTE is not yet available.

Multi-operator support on LTE networks provides manufacturers with an efficient solution for inventory management. With each module covering multiple LTE network operators within its targeted geographic region, manufacturers can address markets worldwide with fewer variants. End customers also have the flexibility to select and change their network service provider without having to purchase a new device.

The AirPrime EM7355, AirPrime EM7305, and AirPrime EM7330 are the first AirPrime modules built to the new PCI Express M.2 module standard, making them even thinner and smaller than the AirPrime EM7700 module, which was introduced earlier this year as the thinnest 4G module available. Each module offers multi-operator LTE support with sets of frequency bands for specific regions – one for North America, one for EMEA and Australia, and one for Japan.

The AirPrime MC7355, AirPrime MC7305, and AirPrime MC7330 are PCI Express Mini Card modules designed for use in notebook computers. Like their EM Series counterparts, the AirPrime MC73xx modules offer multi-operator LTE support and differ in the set of frequency bands supported on each.

The first of the new EM and MC Series modules are expected to be commercially available in the first quarter of 2013, and they will continue to roll out over the first three quarters of the year. Sierra Wireless has multiple design wins for the new modules and is working with leading manufacturers to integrate them into devices that are expected to launch in 2013.

Sagemcom, a leading French high-technology group active in broadband, telecom, energy, and document management, has successfully built a growing M2M franchise that includes 2G and 3G wireless modules, as well as industry-leading rugged terminals for GSM-Railway (GSM-R) applications. Acquiring the Sagemcom M2M business provides Sierra Wireless with a significantly enhanced market position in key segments, including payment, transportation, and railways, as well as new geographical expansion into Brazil.

Sierra Wireless reaches agreement to acquire Sagemcom M2M

Sierra Wireless (NASDAQ: SWIR) (TSX: SW) today announced it has entered into an exclusivity agreement for the acquisition of Sagemcom’s machine-to-machine (M2M) business. Sierra Wireless has submitted a binding offer to acquire substantially all of the assets of the business for €44.9 million in cash consideration plus assumed liabilities.

The proposed acquisition remains subject to completion of the consultation process with employee representatives. This process is expected to commence immediately and, when complete, Sagemcom will be able to enter into a definitive agreement with Sierra Wireless. The companies expect this to occur in the third quarter.

Sagemcom, a leading French high-technology group active in broadband, telecom, energy, and document management, was an early entrant in the M2M market. The company has successfully built a growing M2M franchise that includes 2G and 3G wireless modules, as well as industry-leading rugged terminals for GSM-Railway (GSM-R) applications. Sierra Wireless (NASDAQ: SWIR) (TSX: SW) today introduced the world's first thin form factor (TFF) embedded wireless module for 4G LTE networks. The AirPrime™ EM7700 embedded wireless module measures only a nominal 2.5 millimeters thick and is designed for use in ultraportable notebooks, tablets, and other devices where thinness is a critical design constraint. Shipments are expected to begin in the second quarter of this year.

Made exclusively for connecting to the AT&T 4G LTE network, the AirPrime EM7700 is based on the AirPrime MC7700 module, which was certified by AT&T last year. Designed to support Windows 8, the AirPrime EM7700 utilizes Qualcomms Gobi™ 4G LTE modem, the MDM9200™, and is compatible with Qualcomm's computing API and the USB-IF Mobile Broadband Interface Model (MBIM) for easy integration by PC OEMs. It offers a connectorized interface to enable build-to-order logistics, allowing manufacturers to offer it as an optional add-on to their devices. The AirPrime EM7700 also supports HSPA+ on the AT&T network for use in areas where LTE is not yet available.

Initially available on the AirLink GX400 and GX440 gateways, the ALEOS Application Framework adds new programming capabilities to ALEOS, the intelligent embedded platform that enables setup, configuration, session persistence, and remote communications management for AirLink devices. Leveraging ALEOS as its foundation, the Application Framework allows third-party developers to take advantage of the inherent M2M capabilities of ALEOS and add their own proprietary applications. The ability to run applications directly on the AirLink GX400/440 devices provides important cost and operational advantages for businesses. For example, the ALEOS Application Framework can eliminate the need to use an external unit to perform logic functions, resulting in fewer components to buy, deploy, integrate, and manage. Also, because the ALEOS Application Framework installs highly specialized intelligence into the AirLink GX devices, they can be programmed to sort and prioritize data before transmitting it. This is the first European launch for the AirCard 76xS product family, which was unveiled at Mobile World Congress in late February.

AirCard® 762S supports all network technologies DNA has to offer: 2G, 3G, and 4G. Monthly fee for the device is 6€, with data plans available from 13,90€ for 21 Mbps 3G; 19,90€ for 50 Mbps 4G DC + LTE; and 39,80€ for 100 Mbps 4G LTE.

Sierra Wireless unveils second generation of AirCard mobile hotspots for 4G LTE networks

Sierra Wireless (NASDAQ: SWIR) (TSX: SW) today unveiled its newest family of AirCard® mobile hotspots for 4G LTE networks. Following on the success of the AirCard 754S, the new AirCard 760S, AirCard 762S, and AirCard 763S offer several feature enhancements, including an improved user interface, longer battery life, and expanded frequency band support across the product family, providing variants compatible with most common frequency band combinations around the world. The new mobile hotspots are expected to launch in select markets in North America, Australia, Asia, and Europe over the next couple of months.

“Our new generation of AirCard mobile hotspots has been built to make the user experience even better,” said Dan Schieler, Senior Vice President, Mobile Computing for Sierra Wireless. “We listened to customer feedback and have incorporated new and improved features to make our hotspots even easier to use and the fastest way to keep all your Wi Fi-enabled devices connected while on the move. The AirCard 76xS mobile hotspot product family supports up to 10 simultaneous Wi-Fi connections(1), providing ample support for a work team or family carrying multiple connected devices on a road trip. On a 4G LTE network it provides sufficient bandwidth to handle demanding applications like online gaming and streaming media.

Setup is quick and easy – there is no software to install, and device settings can be easily managed through a web browser. Once setup is complete, users can also connect devices with the push of a button – the Wi¬ Fi Protected Setup (WPS) button can securely connect a device without requiring a keyboard or large screen.

Enhancing the user experience
Sierra Wireless AirCard mobile hotspots are known for their informative and user-friendly display screens, which provide all the device information needed to connect and monitor the hotspot network connection and battery life. The new AirCard 76xS product family expands this user interface with the addition of a navigation button that scrolls through additional screens, providing access to messages and alerts, firmware status, and more detailed device information directly from the device itself without logging in to the web interface. This saves users time and makes it easier to use the hotspot with devices that may not have a standard web browser, such as Wi-Fi-enabled cameras or mobile gaming devices.

High-bandwidth often requires high power. The new AirCard 76xS product family comes standard with a 2000 milliampere-hour (mAh) battery, expected to improve battery life by approximately 30%(3). For heavy users, an extended battery (3600 mAh) will be available as an accessory purchase.

Other accessories available with the AirCard 76xS product family include a desktop charging cradle, an external MIMO antenna, and the AirCard Hub. The AirCard Hub, new from Sierra Wireless and sold separately, turns a mobile hotspot into a small office or residential gateway. It allows users to create a network at home or in the office, connecting up to 20 devices at once, between Wi Fi and Ethernet, to utilize the 4G LTE connection. The external MIMO antenna, also sold separately, offers an extra reception boost for users in areas with lower 4G LTE signal strength.

Launching on select networks worldwide
4G LTE networks are rolling out around the world, but vary widely by region in the frequency bands utilized. The AirCard 76xS mobile hotspot product family offers three variants, each with different frequency band combinations, offering nearly global coverage across the product line.

The AirCard 760S will be launched with Telstra in Australia and with NTT DOCOMO MVNO under the brand Netindex in Japan. The AirCard 762S is expected to launch with a mobile network operator in Scandinavia. The AirCard 763S will be launched on the Rogers LTE network in Canada. Exact timing of commercial availability varies by network, but is expected over the next couple of months.

Beeldhorloge selects Sierra Wireless module for wearable mHealth solution

Sierra Wireless (NASDAQ: SWIR) (TSX: SW) today announced that Beeldhorloge, based in the Netherlands, has selected a Sierra Wireless AirPrime™ embedded module to provide wireless connectivity for the Pictowatch. The Pictowatch is designed to assist individuals with cognitive disorders – such as dyschrony (a condition whereby the sufferer is unable to recognize what time of day it is), ADHD, dementia and Asperger’s Syndrome – in managing daily routines.

The wireless element connects the Pictowatch to a web server where an online schedule is hosted and managed by the wearers’ caregivers, enabling real-time alerts to users when it is time to perform a certain action – to eat lunch, for example, or go to work. Alerts take the form of beeps, vibrations, and a digital display of pre-selected icons or photos representing the designated activity. The core of the watch is based on the Sierra Wireless AirPrime SL6087 EDGE wireless module, which provides access to the GSM network and is also responsible for running the Pictowatch application and producing the pictogram on the watch display.

In developing the Pictowatch with an AirPrime module, Beeldhorloge was able to take advantage of the Sierra Wireless Open AT Application Framework, which enables customers to embed their application directly onto the wireless module. By using the processing power already built into the wireless module, no separate microcontroller is required. This is the real value-add of the Sierra Wireless module: it combines GSM and microcontroller functions, acting both as modem and as central processor, so that the entire firmware and software of the Pictowatch is actually run on the module. For Beeldhorloge, this means that the Pictowatch can be smaller, use less power, and have a noticeably lower bill of materials than it would if a separate processor had been required.

With the AirVantage M2M Cloud Platform, Sierra Wireless also provides remote device management services, which allows Beeldhorloge to update the firmware and software on the watch remotely. The download-over-the-air approach proved vital in the testing phase of the Pictowatch, as prototypes could be modified while in the field.

Pursuant to the Bid, Sierra Wireless may purchase for cancellation up to 1,564,914 of its common shares (“Common Shares”), or approximately 5% of the Common Shares outstanding as of the date of this announcement (representing 6.3% of the public float). As of December 1, 2011, there were 31,298,297 Common Shares of Sierra Wireless issued and outstanding, and the public float consisted of 24,975,375 Common Shares.

The purchases will be made by Sierra Wireless through the facilities and in accordance with the rules of the TSX and Rule 10b-18 under the U.S. Securities Exchange Act of 1934 (“Rule 10b-18”), and the price which Sierra Wireless will pay for any such Common Shares will be the market price at the time of acquisition. As part of their collaboration, Sierra Wireless and ACTIA are supporting the HeERO pilot project, currently underway in Sweden. Managed by ERTICO ITS Europe, the HeERO pilot project was created to prepare the European member states for introduction of eCall (Emergency Call) by implementing and testing eCall pre-deployment pilots in real-life environments in nine countries. The purpose of eCall is to reduce injuries and fatalities in the event of car accidents, through the automatic dialing and transmission of incident information to emergency services. The eCall system is designed to be interoperable across Europe, to guarantee service regardless of location.

Drawing on 15 years of experience in M2M, the Sierra Wireless AirPrime™ WS6318 module provides essential M2M connectivity in a smaller, simpler, and highly innovative package.

Delivering big things in small packages

Over the past several years, original equipment manufacturers (OEMs) have launched innovative connected devices and services, equipping everything from industrial equipment, to eBook readers, to cars and vending machines with cellular connectivity. However, bold design ideas have continued to bump up against the size limitations of cellular modules. Now, Sierra Wireless is helping customers extend M2M connectivity to places it has never been before.

The new AirPrime WS6318 provides essential M2M connectivity in a module just 15x18 mm2. As a result, OEM customers can integrate GSM connectivity into smaller and more inconspicuous products. For example, by embedding health monitoring and wireless communication capabilities into a small watch or wristband, a health application provider could extend its service to customers that would be unwilling to wear a bulky monitoring device. In this way, the AirPrime WS6318 opens the door to connected devices that were previously impossible and enables M2M innovators to address markets that otherwise would be out of reach.

While Sierra Wireless is widely recognized for the most advanced cellular solutions, the AirPrime WS6318 is designed to serve a different set of requirements, providing M2M connectivity in the smallest, simplest package possible.
